Terms of Service

These Terms of Service ("Terms") govern your use of EP-PatchStudio software and our website, provided by Photon Consulting Limited, trading as SquareWave Studio. By purchasing or using EP-PatchStudio, you agree to these Terms. If you do not agree, do not use the software.

1. License Grant

We grant you a non-exclusive, non-transferable, revocable licence to install and use EP-PatchStudio on your personal devices, subject to these Terms and our Licence Agreement. This licence is for your personal or internal business use only.

You may not sublicence, rent, lease, or lend the software. You may not sell, resell, or transfer your licence to another party.

2. Acceptable Use Policy

You agree to use EP-PatchStudio only for lawful purposes and in a way that does not infringe upon the rights of others or restrict their use and enjoyment. Prohibited behaviour includes:

  • Harassing or causing distress or inconvenience to any person
  • Obscene or offensive language or graphics
  • Disrupting the normal flow of dialogue within our website or software
  • Reverse engineering, decompiling, or disassembling the EP-PatchStudio software, except to the extent expressly permitted by applicable law (such as EU Directive 2009/24/EC)
  • Circumventing, disabling, or interfering with licence validation, security features, or technical protection measures in the Software
  • Removing, altering, or obscuring any proprietary notices, labels, or marks in the Software
  • Using the Software for any unlawful purpose or to infringe the intellectual property rights of Teenage Engineering AB or any other party
  • Sublicencing, renting, leasing, selling, or otherwise transferring your licence to third parties
  • Using the Software in any manner that violates the intellectual property rights of third parties
  • Accessing or attempting to access Teenage Engineering's proprietary systems or software through the use of this Software
  • Misrepresenting that the Software is affiliated with, endorsed by, or produced by Teenage Engineering AB

Important Clarification: Software vs. Protocol

This restriction applies to the EP-PatchStudio software itself. The MIDI SysEx protocol used by EP devices is not proprietary to SquareWave Studio and was discovered through lawful reverse engineering for interoperability purposes as permitted under EU Directive 2009/24/EC Article 6.

Users are not authorised to reverse engineer Teenage Engineering's proprietary software using this tool, nor to use this software to circumvent protections or access unauthorised systems.

3. Intellectual Property Rights

EP-PatchStudio and all related content, including documentation, graphics and software code, are the exclusive property of EP-PatchStudio or its content suppliers. All intellectual property rights are reserved. You acquire no ownership rights by downloading or using the software.

You may not reproduce, distribute, or transmit the software without express written permission.

4. User Accounts & Credentials

If you create an account with us, you are responsible for:

  • Maintaining the confidentiality of your credentials
  • Accepting responsibility for all activities under your account
  • Notifying us immediately of any unauthorised access
  • Providing accurate and complete information

We reserve the right to suspend or terminate accounts that violate these Terms.

5. Payment & Billing

  • All prices are listed in USD unless otherwise specified
  • Payment is processed through LemonSqueezy, our authorised payment processor
  • You authorise us to charge your payment method for any purchases
  • You are responsible for any taxes, duties, or charges applicable to your jurisdiction
  • Refunds are subject to our Refund Policy

6. Limitation of Liability

To the Maximum Extent Permitted by Law:

  • EP-PatchStudio is provided "as is" without warranties of any kind, express or implied
  • We disclaim all warranties including merchantability, fitness for a particular purpose and non-infringement
  • We are not liable for indirect, incidental, special, consequential, or punitive damages
  • Our total liability to you shall not exceed the amount you paid for the software

7. Disclaimer of Warranties

We make no warranty that the software will meet your requirements, be error-free, uninterrupted, or secure. Use of the software is at your own risk. We do not warrant that the software will be compatible with all systems or configurations.

8. Indemnification

You agree to indemnify and hold harmless Photon Consulting Limited, trading as SquareWave Studio, its directors, employees and affiliates from any claims, damages, or costs arising from your use of EP-PatchStudio software or violation of these Terms.

9. Termination

We may terminate or suspend your access to EP-PatchStudio immediately if you violate these Terms or engage in illegal activity. Upon termination, your licence is revoked and you must cease all use of the software.

10. Modifications to Software & Terms

We reserve the right to modify or discontinue EP-PatchStudio at any time. We may also update these Terms. Continued use of the software constitutes acceptance of any modifications. We will notify you of material changes where possible.

11. Technical Support

Technical support is provided on a best-effort basis. We aim to respond within 24 business hours. Support is limited to issues directly related to using EP-PatchStudio as intended.

12. No Warranty of Specific Results

EP-PatchStudio is a tool for creating and managing multisamples for Teenage Engineering EP series devices. We do not warrant specific musical results, sound quality, or compatibility with all hardware configurations. Results depend on your expertise and hardware setup.

13. Third-Party Services

EP-PatchStudio may integrate with or depend on third-party services (e.g., LemonSqueezy, Cloudflare). We are not responsible for:

  • Availability or performance of third-party services
  • Their terms of service or privacy policies
  • Any data they collect or process

14. Governing Law & Jurisdiction

These Terms are governed by the laws of the European Union and the country in which we operate. Any disputes shall be resolved through mutual resolution attempts, mediation, or arbitration as applicable under EU law.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions remain in effect to the fullest extent permitted by law.

16. Entire Agreement

These Terms, together with our Privacy Policy and Licence Agreement, constitute the entire agreement between you and EP-PatchStudio regarding the software. Any prior understandings or agreements are superseded.
